1. Introduction

Welcome to Ridi Shillo. These Terms of Service ("Terms") govern your access to and use of the Ridi Shillo website, products, and services ("Services"). Please read these Terms carefully.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

Ridi Shillo provides public speaking courses, workshops, and coaching services for individuals and organizations across Canada. Our Services are intended for users who are at least 18 years of age or who have the permission and supervision of a parent or guardian.

2. Services

2.1 Course Offerings

Ridi Shillo offers various public speaking courses, workshops, coaching sessions, and related educational materials. The specific details, including content, duration, location, and pricing, are described on our website or in separate agreements for corporate services.

2.2 Service Changes

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. This includes the content, hours of availability, and equipment needed to access or use the Services. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

2.3 Accuracy of Information

We strive to provide accurate and up-to-date information about our Services. However, we do not warrant that descriptions, pricing, or other content on our website are accurate, complete, reliable, current, or error-free. If we discover an error in the price or description of a Service, we reserve the right to correct the error and charge or refund you the correct amount.

3. User Accounts

3.1 Account Creation

Some of our Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to disable or terminate your account at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of our Services, us, or third parties, or for any other reason.

4. Payments and Refunds

4.1 Pricing

Prices for our Services are listed on our website or provided through quotes for corporate services. All prices are in Canadian dollars and do not include applicable taxes unless otherwise specified. We reserve the right to change our prices at any time.

4.2 Payment Methods

We accept various payment methods as indicated on our website. By providing a payment method, you represent that you are authorized to use the payment method and you authorize us to charge your payment method for the Services you purchase.

4.3 Refund Policy

Our refund policy for courses and workshops is as follows:

  • Full refund: Available if cancellation is made at least 14 days before the course start date
  • Partial refund (50%): Available if cancellation is made 7-13 days before the course start date
  • No refund: For cancellations made less than 7 days before the course start date

For corporate services, refund terms will be specified in the separate agreements.

4.4 Rescheduling

You may reschedule a course or workshop at no additional cost if the request is made at least 7 days before the original date. Rescheduling requests made less than 7 days before the original date may incur an administrative fee.

5. Intellectual Property

5.1 Our Intellectual Property

The content, organization, graphics, design, compilation, and other matters related to our website and Services are protected by copyright, trademark, and other intellectual property rights. All rights, title, and interest in and to our Services and content are the property of Ridi Shillo or its licensors.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services and content for your personal, non-commercial use. This license does not include:

  • The right to reproduce, distribute, or publicly display any content
  • The right to modify or create derivative works based on our content
  • The right to use our content for any commercial purpose
  • The right to access or use our Services in a way that violates these Terms

5.3 Course Materials

Course materials, including handouts, presentations, workbooks, and digital resources, are provided for your personal use only. You may not share, distribute, or reproduce these materials without our explicit written permission.

6. User Content

6.1 Definition

User Content refers to any content that you upload, post, submit, or otherwise provide through our Services, including comments, feedback, testimonials, and communications.

6.2 Ownership and License

You retain all rights to your User Content. By providing User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with our Services and our business, including for promoting and redistributing part or all of our Services.

6.3 Responsibility for User Content

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to use and authorize us to use your User Content
  • Your User Content does not violate any third party's intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights
  • Your User Content does not contain libelous, defamatory, or otherwise unlawful material

6.4 Review and Removal

We reserve the right, but are not obligated, to review, monitor, or remove User Content at our sole discretion and at any time, for any reason, without notice.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws, regulations, or third-party rights
  • Using our Services for any illegal purpose or to promote illegal activities
  • Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running our Services
  • Uploading or transmitting viruses, malware, or other types of malicious code
  • Collecting or harvesting any personally identifiable information from our Services
  • Impersonating another person or entity or misrepresenting your affiliation with a person or entity
  • Using our Services in a manner that could disable, overburden, damage, or impair the site
  • Engaging in any automated use of the system, such as using scripts to send comments or messages
  • Attempting to circumvent any content-filtering techniques we employ
  • Interfering with, disrupting, or creating an undue burden on our Services or the networks or services connected to our Services

8.2 No Guarantees

While we strive to provide valuable and effective education in public speaking, we do not guarantee specific outcomes or results from participating in our courses or using our Services. Individual results may vary based on factors such as practice, dedication, and prior experience.

8.3 Technical Issues

We do not warrant that our Services will be uninterrupted, timely, secure, or error-free. We are not responsible for any interruptions, delays, or technical issues that may affect our Services.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Ridi Shillo, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our Services
  • Any conduct or content of any third party on our Services
  • Any unauthorized access, use, or alteration of your transmissions or content
  • Any other matter relating to our Services

Our total liability to you for any damages shall not exceed the amount paid by you to us for the Services during the six (6) months prior to the event giving rise to the liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless Ridi Shillo, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with:

  • Your access to or use of our Services
  • Your violation of these Terms
  • Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or publicity right
  • Any User Content you provide

11. Termination

We may terminate or suspend your access to all or part of our Services, without notice, for conduct that we believe violates these Terms or is harmful to other users of our Services, us, or third parties, or for any other reason at our sole discretion.

Upon termination, your right to use our Services will immediately cease. If your account is terminated, we may delete any content or information that you have submitted through the Services.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

Any legal action or proceeding relating to your access to or use of our Services or these Terms shall be instituted in the courts of the Province of British Columbia. You agree to submit to the jurisdiction of the courts located in Vancouver, British Columbia, and waive any objection to the exercise of jurisdiction over you by such courts.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. The most current version will be posted on our website with the effective date. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the changes becoming effective.

Your continued use of our Services after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using our Services.
